Stuart B. Kotler, managing partner of Berdon LLP, has been with the firm for nearly 30 years. He has extensive experience serving as tax advisor to prominent real estate companies and to family-owned and closely held businesses. Often representing clients as the key negotiator in complex transactions, Mr. Kotler specializes in tax-effective sales structures, acquisitions, workouts, and tax planning for clients involved in closely held real estate businesses and in public companies. He has been instrumental in the formation and operation of Real Estate Investment Trusts. Mr. Kotler also concentrates in the area of structuring joint ventures, maximizing economic tax benefits, and minimizing clients’ tax obligations.
His recent real estate and other business experience includes:
- Planning and structuring joint venture arrangements
- Advising and negotiating sales and acquisitions
- Obtaining securitized financing
- Formulating lease arrangements
- Utilizing like-kind exchanges
In addition, he assists clients with issues concerning the operations of their business from a tax and economic viewpoint, as well as with estate and trust planning and personal financial planning. His service to clients includes acting as part of a “think tank” in dealing with economic, business, and family issues. Mr. Kotler has also been involved with the firm's litigation support department and has qualified Berdon as an expert in New York State Supreme Court.

EDUCATION AND LICENSES
Mr. Kotler graduated from New York University with a Bachelor of Science degree in accounting. He went on to earn a Master of Business Administration in taxation at New York University while simultaneously attending Cardozo Law School, where he received a Juris Doctor degree. In 1985, he obtained his license as a certified public accountant in the New York. He was admitted to practice law before the Courts of New York and the United States Tax Court in 1983.
